Shares of Wendy’s Co (WEN) slipped again on Friday, on track to clock its fourth straight day in the red, as investors digested a Chapter 11 filing by one of its largest U.S. franchisees.

Shares opened at $7.01 and traded as low as $6.60 before hovering near $6.75, down about 3% from Thursday’s close and close to its 52-week low of $6.07.

Meritage Seeks A Reset

Meritage Hospitality Group, based in Grand Rapids, Michigan, filed a voluntary Chapter 11 petition on Thursday in the Western District of Michigan. It operates 314 Wendy’s restaurants across 15 states, or about 5% of Wendy’s U.S. system, plus one Bojangles and five other independently branded concepts. The company employs about 9,000 people.

Chapter 11 is a court process that lets a company stay open while it reworks its debts. The goal is to cut what it owes, keep operating, and come out on firmer ground.

Why It Matters To Wendy’s

Wendy’s makes most of its money as a franchisor. Royalties, ad fees, and new-store growth depend on operators staying profitable. The filing raises the risk of more store transfers, delayed fees, or further closures if the restructuring is harsh.

Wendy’s has posted six straight quarters of same-store sales declines. U.S. comps fell 7% in the second quarter, with traffic down 12.5%. The company withdrew 2026 guidance, cut its quarterly dividend to $0.07, and is rebuilding under CEO Robert Wright.
