The biggest factor that led to McMahon’s downfall was the series of misconduct allegations that surfaced in 2022. Reports revealed that he had paid millions in hush money to cover up alleged affairs and workplace misconduct. This triggered an internal investigation by WWE’s board, leading McMahon to step down temporarily. However, after maneuvering his way back into the company in early 2023, things took a turn for the worse.
When WWE merged with UFC under TKO Group Holdings, the corporate structure changed drastically. McMahon no longer had the absolute power he once did, and with more legal troubles emerging in 2024, the pressure became too much to handle.

Once WWE merged with UFC under Endeavor Group Holdings, McMahon wasn’t the sole authority anymore. The company now had new leadership, including CEO Ari Emanuel, who was less willing to protect McMahon from the storm of lawsuits and controversies. Unlike before, McMahon couldn’t just push his way back into control. With WWE now a public company and under stricter corporate oversight, there was no room for his past behavior to be ignored.
